1. Parties and Scope

These Terms of Service govern the relationship between Gani Medya ve Reklam Danışmanlık Hizmetleri Ticaret Limited Şirketi (Clubby Media) and any individual or legal entity accessing our website or using our services. By using our site, you agree to be bound by these Terms.

2. Scope of Services

Clubby Media provides the following services: brand management, creative direction, social media content creation, performance marketing, SEO and content management, motion graphics design, AI-powered content creation, and production services. The specific scope of each engagement is defined in a separately executed agreement.

3. Intellectual Property

All content on our website (text, visuals, designs, logos, videos, and other materials) is the property of Clubby Media and is protected under Turkish intellectual property law and applicable international conventions.

Content produced under a client project is transferred to the client upon full payment of the agreed fee, unless otherwise specified in the project agreement.

4. Client Obligations

Clients engaging our services agree to:

• Provide complete and accurate information and materials required for service delivery
• Adhere to agreed payment schedules
• Refrain from infringing the intellectual property rights of third parties
• Comply with confidentiality obligations

5. Payment Terms

Service fees are determined in accordance with the proposal or agreement executed at the commencement of each project. Late payments are subject to statutory interest. Clubby Media reserves the right to suspend service delivery in the event of non-payment.

6. Confidentiality

Both parties are obligated to keep confidential any trade secrets, client information, and business processes learned during and after the project engagement. This obligation remains in effect for 3 years following the termination of the business relationship.

7. Limitation of Liability

Clubby Media exercises the highest level of professional care in delivering its services. However, Clubby Media shall not be held liable for damages arising from changes to third-party platforms, inaccurate information provided by the client, or force majeure events.

8. Termination

Either party may terminate the agreement with 30 days' prior written notice. Fees for work completed up to the termination date shall be paid in full. In the event of unilateral withdrawal by the client, fees are assessed proportionally to the work completed.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Turkey. Istanbul Courts and Enforcement Offices shall have exclusive jurisdiction over any disputes.
